TranquilMind Terms of Service

Welcome to TranquilMind Mitra.

These Terms of Service ("Terms") govern your access and use of TranquilMind’s services, including AI-powered mental health support, therapy sessions, mobile applications, websites, and associated content (collectively, the "Services"). By using the Services, you agree to these legally binding Terms. If you do not agree, you must discontinue use immediately.

NATURE OF SERVICES

TranquilMind is an innovative mental health and well-being platform designed to provide accessible psychological support to individuals, organizations, clinics, and hospitals. Our services aim to enhance emotional resilience, mental wellness, and self-improvement through technology-driven and professional interventions.

Core Services:

  • Mitra AI Companion – A conversational AI tool offering guided self-help techniques for emotional wellness and mental clarity.

  • Digital Self-Care & Mindfulness Tools – Includes guided meditation, stress reduction techniques, and cognitive restructuring exercises.

  • Professional Counselling & Therapy – Connects users with licensed therapists for online and in-person sessions, offering support in areas such as anxiety, depression, stress, and trauma recovery.

  • Immersive Digital Wellness – Utilizes WebAR, Mobile AR, and VR glasses to enhance therapy sessions and diagnostic support.

  • E-Triage & Digital Front Door Services – AI-driven preliminary assessments that help users understand their mental health needs before engaging with a professional.

  • Corporate Mental Health Programs – Customized workplace wellness initiatives including stress management, resilience training, and employee assistance programs.

  • Psychological Training Programs – Self-paced learning modules and interactive workshops covering therapy techniques, emotional intelligence, and stress reduction strategies.

  • Community Support & Awareness – Free resources, mental health awareness campaigns, and peer-support programs.

  • Clinical & Research-Based Studies – Collaboration with researchers and institutions to advance the understanding of mental health through data-driven studies and pilot projects.

 

TranquilMind continually evolves its service offerings and reserves the right to modify, enhance, or discontinue any feature without prior notice.

DEFINITIONS

  • Client/User: “Client”, “user”, “you”, “your” or other similar terminology are all in reference to you as the user of the platform as a recipient of our products, Services, and resources for the remainder of this document.

  • Platform: “Platform” or similar terminology are all in reference to any mobile app, website, chatbot, or web links that the User can employ to access Services provided by the Company.

  • Psychological Wellness Professional: “Psychological Wellness Practitioner”, “Psychological Wellness Professional”, “Wellness Professional”, “therapist”, “wellness advisor”, “expert”, “doctor”, “consultant” or similar terminology are all in reference to the Psychological Wellness Practitioner.

USER AGREEMENT & APPLICABILITY OF TERMS

By choosing to visit and/or avail any Services, products, or resources from TranquilMind, the user confirms that they are above 18 years of age and legally competent to contract under the Indian Contract Act, 1872. By using the platform, the user irrevocably accepts and agrees to abide by these Terms and Conditions (hereafter referred to as the “User Agreement”) along with any additional policies referenced herein or available via hyperlinks.

Acceptance of Terms

Please read the User Agreement carefully. The terms in the User Agreement take effect immediately upon your use of or access to any Services, products, or resources offered by TranquilMind. Accessing the platform through any medium, including but not limited to mobile phones, smartphones, and tablets, constitutes acceptance of these terms. If you do not agree to these terms, please do not use the Platform.

Personal and Non-Commercial Use

The Platform is intended for personal, non-commercial use only. You agree to use the Platform in accordance with the following restrictions:

  • You shall not modify, decompile, reverse engineer, or disassemble any content

  • You shall not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices

  • You shall not engage in unauthorized copying, reproduction, or distribution of Platform content

  • You shall not use the Platform for any unlawful purpose or in violation of any applicable laws

  • You shall not attempt to gain unauthorized access to any portion of the Platform

  • You shall not interfere with or disrupt the Platform's operation or servers

Modifications to the Agreement

TranquilMind reserves the right to modify, add, or remove sections from the User Agreement at any time without prior notice. Continued use of the platform, purchase of any Service, resource, or product, constitutes an obligatory legal agreement between the user and TranquilMind. Users are responsible for reviewing the User Agreement periodically. Continued use of the platform after revisions will be deemed acceptance of the revised terms.

User Content and Conduct

1. Prohibited Content You agree not to post, upload, or share any information that:

  • Infringes on third-party intellectual property rights

  • Contains false, misleading, or deceptive information

  • Violates any applicable laws or regulations

  • Threatens India's sovereignty, integrity, defense, security, or foreign relations

  • Promotes harassment, hate speech, or discrimination

  • Contains malicious code, viruses, or harmful components

 

2. Content Monitoring TranquilMind Mitra reserves the right to:

  • Monitor user content and activity

  • Remove any content that violates these terms

  • Suspend or terminate accounts for violations

Service Availability and Maintenance

1. Service Availability

  • TranquilMind Mitra strives to maintain Platform availability 24/7, but does not guarantee uninterrupted service

  • The Platform may be occasionally unavailable due to system maintenance, upgrades, or factors beyond our control

  • We will attempt to provide reasonable notice of scheduled maintenance activities

2. Maintenance and Updates

  • TranquilMind Mitra reserves the right to modify, suspend, or discontinue any part of the Platform for maintenance purposes

  • Regular maintenance windows will typically be scheduled during off-peak hours

  • Emergency maintenance may be performed without prior notice when necessary

  • Users will be notified of significant platform updates or changes that affect functionality

3. Technical Support

  • Technical support is available during specified business hours

  • Response times for technical issues will vary based on severity and impact

  • Users must provide accurate information when reporting technical issues

Data Backup and Recovery

1. Data Storage and Backup

  • TranquilMind Mitra implements regular backup procedures for Platform data

  • User data is backed up automatically according to our data retention schedule

  • Backups are stored in encrypted format in secure, geographically distributed locations

  • While we maintain regular backups, users are encouraged to maintain their own copies of important information shared on the Platform

2. Data Recovery

  • In the event of data loss, TranquilMind Mitra will make reasonable efforts to recover user data from our backup systems

  • Recovery time objectives (RTO) and recovery point objectives (RPO) vary based on the nature and extent of data loss

  • TranquilMind Mitra cannot guarantee the complete recovery of all user data in all circumstances

  • Users will be notified of any significant data loss incidents that affect their information

3. User Responsibilities

  • Users are responsible for maintaining copies of any important documents or information they upload to the Platform

  • Users should regularly download and save any session notes, reports, or other important documents

  • TranquilMind Mitra is not responsible for any loss of user-generated content that has not been properly saved or synchronized with our servers

4. Data Retention

  • User data will be retained according to our Data Retention Policy and applicable laws

  • Inactive account data may be archived or deleted after a specified period of inactivity

  • Users can request data export of their personal information within the retention period

  • Certain data may be retained for longer periods as required by law or for legitimate business purposes

5. System Failures and Force Majeure
While TranquilMind Mitra implements robust backup systems, we cannot guarantee against data loss due to catastrophic events or force majeure
In case of system failures: 

  • Users will be notified of any significant outages affecting their data

  • Recovery procedures will be initiated according to our disaster recovery protocols

  • Priority will be given to recovering critical user data and session information

6. Data Privacy During Recovery

  • All data recovery processes adhere to our Privacy Policy and applicable data protection laws

  • Recovered data maintains the same level of encryption and security as original data

  • Access to recovered data is strictly controlled and monitored

Applicability of Terms

The general terms and conditions outlined in the User Agreement apply to all present and future contracts established between the user and TranquilMind. This Agreement applies to all users of the platform, including but not limited to browsers, vendors, customers, merchants, and content contributors. The User Agreement supersedes any prior oral or written terms and conditions communicated to the user.

Termination of Agreement

Users may terminate this User Agreement at any time, provided that all outstanding payments (if applicable) are settled. Upon termination, certain user data may remain stored on our servers. Users who access TranquilMind offerings via a third-party or organization must contact the respective entity to request data deletion. If the user has registered directly on the platform, they may request data removal by contacting TranquilMind’s support team.

ELIGIBILITY & USER OBLIGATIONS

  • Age Restriction: Users must be at least 18 years old to access and use our Services. If you are between 13 and 18 years old, you may use the Services only with parental or legal guardian consent.

  • Children’s Online Privacy Protection Act (COPPA): In compliance with COPPA, we do not knowingly collect or solicit personally identifiable information from children under 13 years old. If you are under 13, please do not register for our Services or provide any personal information. If we learn that we have collected data from a child under 13, we will promptly delete it and terminate the associated account. If you believe a child under 13 has provided us with personal information, please contact us immediately.

  • Emergency Disclaimer: TranquilMind is not a crisis service. If you are experiencing a mental health emergency, contact emergency services or a licensed professional immediately.

  • User Conduct: Users must comply with all applicable laws, regulations, and ethical standards while using the Services. Misuse may result in account suspension or termination.

  • Account Responsibility: Users must maintain the confidentiality of their User Credentials and notify TranquilMind of any unauthorized access.

You agree to:

  • Take responsibility for maintaining the confidentiality of your account credentials

  • Check the technical specifications required before booking sessions or accessing digital offerings

  • Ensure your system meets the minimum technical requirements for Platform use

  • Maintain adequate internet connectivity for accessing the Platform

AI & HUMAN INTERACTION

AI Companion vs. Human Support: 

Mitra, the AI Companion, provides self-help techniques and emotional support but is not a substitute for professional therapy or medical care. Cases requiring medical assessment will be referred to licensed professionals.

Licensed Professionals: 

TranquilMind ensures that all therapists and mental health professionals on our platform are qualified experts, trained in various evidence-based therapeutic approaches, including but not limited to Cognitive Behavioral Therapy (CBT), Psychoanalysis, Psychodynamic Therapy, and Humanistic Therapy.

We conduct background checks and credential verifications for all therapists before they join our platform. However, TranquilMind does not endorse, guarantee, or assume liability for the clinical judgment, effectiveness, or outcomes of therapy provided by any individual therapist.

Users can view therapist profiles, qualifications, and specializations on the TranquilMind app and website. We encourage users to exercise due diligence when selecting a mental health professional and to seek additional verification if needed.

AI Accuracy & Limitations:

AI-generated responses may not always be accurate. Users must verify information independently before relying on it. Do not substitute AI insights for professional medical advice.

Service Availability: 

TranquilMind Mitra service will not be available when:

  • Your messages do not pass our safety checks.

  • Gen AI does not pass safety checks.

  • Gen AI is not working.

THERAPY & SERVICE LIMITATIONS

In-Person & Remote Therapy: TranquilMind services are available via audio-video sessions, in-person therapy, or third-party telehealth platforms. Users may need to register with third-party providers for remote therapy access.

Medical Condition Exclusions: TranquilMind provides general mental health support but does not offer guidance for chronic illnesses, cancer, genetic disorders, infertility, or other complex medical conditions.

Service Limitations: TranquilMind Mitra may not always work perfectly. Possible issues include:

  • Inability to detect all personal information; users should avoid sharing personal details.

  • AI-generated responses may be incorrect or misleading.

  • Inaccurate tool suggestions if AI misinterprets user messages.

  • Errors in recognizing certain words, particularly medical terms.

  • General limitations of Gen AI technology.

User Responsibilities: When using TranquilMind Mitra, users must:

  • Avoid sharing sensitive information about themselves or others.

  • Refrain from entering meaningless text.

  • Not provide harmful or unsafe input.

Governance & Responsible Practices: TranquilMind follows responsible AI governance practices to protect user rights and freedom while ensuring ethical AI use.

Use of TranquilMind Therapist, Psychiatrist, or Mitra Services

By using the TranquilMind Therapist, Psychiatrist, or Mitra services within the TranquilMind app, you acknowledge and agree to the following terms:

Nature of the Service

  • TranquilMind Therapist and Psychiatrist services are premium, paid services offered through the TranquilMind app.

  • These services are designed to provide emotional support, guidance, and well-being coaching to help you build emotional resilience and achieve your personal goals.

  • TranquilMind therapists, psychiatrists, or Mitras do not provide medical advice, diagnosis, or treatment. They offer emotional support, guidance, and strategies for well-being but do not replace professional medical or psychological treatment.

  • This service is not intended for crisis or emergency situations. If you are experiencing an emergency, including a mental health crisis, please contact local emergency services or a crisis helpline immediately.

User Responsibilities and Conduct

  • You may use a nickname or pseudonym when accessing the service, but you remain responsible for all actions taken under your account.

  • Do not share highly sensitive or confidential information (e.g., medical history, financial details, or political opinions) unless it is necessary.

  • You are responsible for scheduling, managing, and attending your sessions. If you need to cancel or reschedule a session, you must do so at least three (3) hours before the scheduled time.

  • If your assigned therapist or psychiatrist is unavailable, TranquilMind may assign another professional or reschedule your session.

Communication & Privacy

  • TranquilMind services are available through text messaging and audio-video sessions to support your well-being goals.

  • You may be required to provide informed consent and emergency contact details before your first session.

  • Your text conversations and audio-video sessions may be recorded and stored as part of TranquilMind’s Mental Health Electronic Health Record (MHEHR) system for quality assurance and compliance.

  • Other TranquilMind therapists or psychiatrists may review your messages for quality assurance to ensure high-quality services.

  • TranquilMind’s automated system may detect safety risks in your messages and alert your assigned therapist, psychiatrist, or institution if necessary.

  • TranquilMind therapists and psychiatrists will not disclose your personal information without your consent, except as required by law or safety obligations (e.g., risk of harm to yourself or others). All data handling is subject to TranquilMind’s Privacy Policy.

Limitations of the Service

  • TranquilMind makes reasonable efforts to provide a seamless service but does not guarantee that:
    a. The app will always function without errors or interruptions.
    b. Therapists, psychiatrists, or Mitras will always be available to respond immediately.
    c. Advice provided will always be relevant, effective, or suitable for your specific needs.
    d. The service will be entirely free from security risks or data breaches.

  • Your access to the TranquilMind therapist or psychiatrist services may be discontinued if TranquilMind’s contract with your institution ends. However, you may continue using the service independently.

Code of Conduct

  • You are expected to communicate respectfully with your assigned therapist or psychiatrist. Abusive, harassing, or inappropriate behavior may lead to the suspension or termination of your access to TranquilMind services.

  • You are responsible for all messages, posts, and communications you share within the TranquilMind app.

Therapist & Psychiatrist Credentials

  • TranquilMind conducts background verification for all therapists and psychiatrists before they join the platform. You can view their credentials, qualifications, and experience on the app.

  • TranquilMind does not endorse, guarantee, or assume liability for any therapist’s advice, clinical judgment, or treatment outcomes. Users should exercise due diligence when choosing a mental health professional.

DATA PRIVACY & RESEARCH PARTICIPATION

User Data Protection: Conversations with TranquilMind AI and human professionals are private and protected. Users should follow best practices outlined in our Privacy Policy: https://www.tranquilmind.ai/privacypolicy 

Data Storage & International Transfers: User data may be processed and stored on secure servers outside their country under applicable data protection laws. Refer our Privacy Policy: https://www.tranquilmind.ai/privacypolicy 

Research, Data Collection, Independent Studies and Privacy: TranquilMind services cannot be used for independent research or clinical studies without express written consent. Unauthorized research use may result in legal action.

TranquilMind does not collect personally identifiable information (PII) unless the user explicitly consents to participate in research.

  • Anonymized data may be used for statistical analysis, research, and service improvements.

  • Participation in research is voluntary, with specific eligibility criteria.

  • No compensation or rewards are provided unless explicitly stated.

Payment and Subscription Terms

Service Tiers and Pricing

1. Basic Services

  • The AI Companion Services are currently available free of use

  • TranquilMind reserves the right to make all Services subject to a subscription fee at its sole discretion

  • Users will be notified of any applicable fees before using the Services


2. Premium Services

  • Additional services are available through paid subscriptions on mobile software

  • Subscription options include monthly and yearly plans

  • Feature descriptions are available on the TranquilMind website

  • Professional services (offline/online consultation, counselling) may have different fee structures

  • Users will be informed of all fees in advance

Payment Processing

1. Payment Methods

  • Users may be required to provide credit card information, expiration date, and billing/shipping addresses

  • Users must have legal right to use provided payment methods

  • TranquilMind may process payments through:

    • Credit cards

    • Third-party payment processors

    • App store accounts (Apple App Store, Google Play)

  • Additional fees may be charged by app providers, banks, or financial service providers

 
2. Payment Authorization

  • Payment amounts will be displayed before order placement

  • Users authorize TranquilMind to share payment information with third-party service providers

  • Users agree to pay all applicable fees and taxes

  • Confirmation emails will be sent after payment processing

  • ​TranquilMind's acceptance of orders is final


3. Failed Payments and Service Suspension

  • If a payment fails, TranquilMind may attempt to process the payment again within a grace period.

  • Failure to make timely payments may result in suspension or termination of access to premium features.

4. Taxes and Compliance

  • Users are responsible for any applicable taxes related to their purchases.

  • TranquilMind complies with relevant tax laws and may collect and remit taxes as required.

Professional Service Payments

1. Professional Fees

  • Professional fees will be listed on the TranquilMind platform

  • TranquilMind or licensed third-party payment aggregators may facilitate payments

  • TranquilMind acts as a limited payment and collection agent

  • TranquilMind bears no liability for amounts owed between users and professionals

 

2. Additional Charges

  • Users are responsible for telephone charges and internet service fees

  • All applicable fees must be paid upfront

Refunds and Disputes

1. Refund Policy

  • All payments are non-refundable and non-transferable, except as expressly provided

  • Cancellations and refunds are handled according to the Company's Cancellation & Refund Policy:- https://www.tranquilmind.ai/refund-and-cancellation

  • TranquilMind reserves the right to modify the Cancellation & Refund Policy without notice


2. Payment Disputes

  • Users must raise payment concerns with TranquilMind before disputing charges

  • Users agree not to cancel or reject charges without first attempting resolution with TranquilMind

Special Circumstances

1. Order Processing

  • TranquilMind reserves the right to not process or cancel orders in certain circumstances:

    • Declined credit cards

    • Suspected fraud

    • Other circumstances deemed appropriate by TranquilMind

  • TranquilMind may take steps to verify user identity

  • Additional information may be required to complete transactions

  • No charges will be made for unprocessed or canceled orders

Policy Changes

  • TranquilMind reserves the right to modify payment policies without notice

  • Users will be notified of applicable fees before using services

APPLICABILITY OF AR/VR PRODUCT TERMS

These Terms and Conditions apply to your use of the AR/VR Product, which consists of proprietary software program content (“Licensed Content”) installed on a virtual reality headset (“Hardware”) (collectively, the “Hardware” and the “Licensed Content” are referred to as the “Product” herein). Unless a separate agreement applies to your use of the Product, TranquilMindVR comes under subscription (on rental) for every month for a period for the current month. The Hardware and licenses the Licensed Content to you for the Term. Unless a separate agreement applies to your use of the Product, your Product Rental/Subscription shall end on the earlier of:

(a) One (1) week from receipt of the Product, (b) Completion of your treatment program, or (c) Your decision to terminate using the Product.

After the termination of your subscription, you must return the Product in accordance with the Product Return clause.

Product Return

If you have purchased the Product and the title has transferred, you are not required to return it. Otherwise, you must return the Product within seven (7) business days at the end of each Term. The Product must be placed in the original box or a different suitable shipping box and properly sealed. TranquilMindVR will provide you with a return label for shipping. If you have lost or cannot find the return label, please contact TranquilMindVR.

If you do not return the Product within seven (7) business days from the end of the Term, you agree to pay INR 2,00,000 or $2500. You also agree to reimburse TranquilMindVR if the Product is damaged, which may include paying the full cost of the Product if it is not able to be repaired. TranquilMindVR reserves the right to institute legal proceedings to recover the Product and/or monetary damages resulting from your breach of these Terms and Conditions.

Hardware Responsibilities

If you have rented, subscribed to, or otherwise obtained the Product or other physical technology from TranquilMindVR (except through the sale of the Product), you agree to:

(a) Maintain and protect the Product and its integrity as long as it is in your possession, following the instructions provided by TranquilMindVR. (b) Take all reasonable measures to prevent loss or damage to the Product (excluding malfunctions and normal wear and tear). (c) Not repair or attempt to repair the Product. (d) Promptly notify TranquilMindVR if there is any malfunction in the Product. TranquilMindVR will handle all repairs or upgrades of the Hardware.

You will be responsible for any loss, theft, or damage to the Product. In case of negligence, loss, theft, improper use, or breach of these Terms and Conditions, TranquilMindVR reserves the right to charge you for repairing the Product at its fair market value or replacing it. This does not apply if you have purchased the Hardware.

INTELLECTUAL PROPERTY & TRANQUILMIND LICENSE

  • Ownership: All content, including AI-generated insights, belongs to TranquilMind.

  • User License: Users receive a limited, non-transferable, revocable license for personal use.

  • Prohibited Use: Unauthorized reproduction or distribution of content is prohibited.

End User Restricted License Grant

TranquilMind grants you a limited, non-exclusive, non-transferable, revocable license to use the Licensed Content for personal non-commercial purposes in accordance with the instructions provided with the Product. The Licensed Content contains copyrighted material, proprietary material, or other intellectual property of TranquilMind. Ownership of the Licensed Content, including ownership of the Licensed Content installed on the Hardware, and trade secrets, trademarks, service marks, patents, and copyrights associated with the Licensed Content, remains with TranquilMind. The Licensed Content is licensed to you and is not being sold to you. You have no rights in the Product other than to use it in accordance with these Terms and Conditions. You agree not to:

a. Copy, reproduce, modify, alter, translate, create derivative works of, distribute, rent, lease, loan, license, or sub-license all or any portion of the Licensed Content in either original or modified form; (b) Reverse-engineer, emulate, de-compile, disassemble, or attempt to derive the source code from any portion of the Licensed Content, encrypted data, or password-protected data. If such activities are permitted by law despite these prohibitions, this sentence shall not apply to such activities. You must provide TranquilMind with advance notice detailing the scope of your intended reverse engineering activities; (c) Use the Licensed Content or any part of it to create any tool or software product that can be used to create software applications of any nature whatsoever; (d) Tamper with the Product or circumvent any technology used by TranquilMind to protect any content accessible through the Product; (e) Upload, send, transmit, or introduce any material that contains software viruses or any other computer code, files, or programs designed to interrupt, harm, damage, destroy, or limit the functionality of any computer software, hardware, or equipment linked directly or indirectly with the Product; (f) Circumvent any territorial restrictions applied to the Product; (g) Remove any copyright or trademark notice from the Product or Licensed Content; (h) Use the Product in a way that violates these Terms and Conditions; (i) Make the Product available to the public; (j) Impersonate any other person while using the Product, conduct yourself in an offensive manner while using the Product, or use the Product for any illegal, immoral, or harmful purpose; (k) Use the Product for any purposes related to scientific research, analysis, or evaluation of the Product without TranquilMind's express written consent; or (l) Assist or permit any third party in doing any of the above (a)-(k).

TranquilMind License

You are hereby granted a non-exclusive, limited, non-transferable, and fully revocable license to use the TranquilMind App and Services solely for your personal, non-commercial use in accordance with the Service’s features and these Terms. This license does not grant any ownership rights in the TranquilMind App, Services, or any associated content.

All rights in the TranquilMind App, Services, and TranquilMind Content (as defined in this Agreement) that are not expressly granted herein are reserved by TranquilMind. TranquilMind retains the right to revoke or terminate this license at its sole discretion, with or without cause, at any time, without prior notice.

PROHIBITED USES

Users must not engage in any activities that violate ethical standards, legal requirements, or TranquilMind's policies, including but not limited to:

  • Harassment, abuse, or harmful behavior: Engaging in any form of discrimination, hate speech, threats, or bullying toward any individual or group.

  • Misrepresentation or impersonation: Falsely claiming to be another individual, entity, or professional, including therapists or TranquilMind representatives.

  • Data scraping or automated data extraction: Using bots, scrapers, or automated tools to collect, extract, or access data from the platform without explicit authorization.

  • Using AI-generated responses for misleading purposes: Intentionally misusing AI-generated content to spread false information, manipulate others, or engage in fraudulent activities.

  • Unauthorized access: Attempting to gain unauthorized access to any part of the platform, user accounts, or restricted data.

  • Disrupting services: Interfering with the operation of the platform, such as launching denial-of-service (DoS) attacks or exploiting security vulnerabilities.

  • Illegal activities: Engaging in any actions that violate applicable laws, including but not limited to fraud, identity theft, or unauthorized distribution of copyrighted materials.

  • Violation of intellectual property rights: Copying, reproducing, distributing, or modifying TranquilMind’s proprietary content without prior written consent.

Dispute Resolution Process

  • If a dispute cannot be resolved within 60 days, the following dispute resolution terms apply

2. Liability Cap

  • Maximum liability is limited to the amount paid by the user for the disputed Service/product

TranquilMind reserves the right to assume exclusive defense and control of any matter subject to indemnification by the user, in which case the user agrees to cooperate fully with TranquilMind in asserting any available defenses.

SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, such provision shall be severed from the Agreement, and the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

The parties agree to replace any invalid or unenforceable provision with a new provision that achieves, as closely as possible, the intended economic and legal effect of the original provision. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

If the removal of the unenforceable provision materially alters the obligations of either party, the parties shall negotiate in good faith to amend these Terms to preserve their original intent. If any part of these Terms is found to be invalid, the remainder shall still be enforceable.

NO WAIVER

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and TranquilMind's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. Failure to enforce a right does not constitute a waiver of that right.
